A corporation is a legal entity, chartered by the state government, and separate and distinct from the person(s) who own it. It is regarded by the courts as an artificial person; it may own property, incur debts, sue or be sued. A corporation's liability is typically limited to assets that are held in the name of the corporation, the shareholders' personal assets usually will not be at risk. Corporations have more flexibility in paying owners in the form of salaries and wages or as distributions to shareholders. If you choose to become a DSA Tax & Bookkeeping client, we will then file your election to become a S corporation, which has a special tax status, avoiding paying corporate taxes and will protect the personal assets of the shareholder.
An LLC is an unincorporated business organization with limited liability for the contractual obligations and other liabilities of the business. It is generally easier to operate and has less formalities than a corporation. However, corporations have more flexibility in paying owners in the form of salaries and wages or as distributions to shareholders. You may also be able to have the best of both worlds and elect to have your LLC be treated as an S Corporation.
